This palmER Referral Program Agreement (the "Agreement") governs your participation in the palmER Referral Program and any related affiliate or referral programs offered by palmER Worldwide LLC ("palmER," "we," "us," or "our"). You are the "Partner" or "Affiliate" ("you" or "your"). We use Referly as our tracking, reporting, and program management system (the "Affiliate Portal"). Referly is not a party to this Agreement. If you use the Affiliate Portal, you may also be subject to Referly's separate terms.
By applying to, enrolling in, accessing, or participating in the Referral Program (including using referral links, promo codes, tracking links, or program tools), you agree to this Agreement and any program terms displayed in the Affiliate Portal or otherwise provided by us (the "Program Terms"). If you do not agree, do not participate.
1. Definitions
1.1 "Affiliate Portal" means the Referly tracking, reporting, and program management system used to administer the Referral Program.
1.2 "Referral Program" means our marketing and referral program under which you may earn Partner Fees for Qualifying Transactions attributed to you.
1.3 "Affiliate Medium" means any channel you use to promote palmER, including websites, blogs, social media accounts, groups, newsletters, podcasts, video channels, or other media.
1.4 "Tracking Link" means a unique URL, link, or code we or the Affiliate Portal provides that enables attribution.
1.5 "Promo Code" means a discount or referral code assigned to you by us or the Affiliate Portal for attribution or promotional use.
1.6 "Customer" means an end user who purchases a subscription or product from us.
1.7 "Referred Customer" means a Customer that is attributed to you through the Affiliate Portal and/or our systems via your Tracking Link or Promo Code.
1.8 "Active Referred Customer" means a Referred Customer who (a) has an active, paid palmER AI Suite subscription in good standing (not canceled, paused, refunded, disputed, or charged back) and (b) is within the Commission Duration described in Section 3.3.
1.9 "Qualifying Transaction" means a Customer purchase that:
- (a) is properly tracked and attributed to you by the Affiliate Portal and/or our systems,
- (b) remains paid and active for at least thirty (30) days after the initial subscription purchase (the "Eligibility Hold Period"),
- (c) is not refunded, charged back, disputed, canceled, or otherwise reversed, and
- (d) complies with this Agreement and the Program Terms.
1.10 "Partner Fees" (or "Commissions") means amounts payable to you for Qualifying Transactions, as defined in this Agreement and/or the Program Terms.
1.11 "Program Terms" means any additional terms specific to your participation, including commission structure, caps, qualification rules, payout thresholds, payout methods, and eligibility requirements, which may be presented via the Affiliate Portal, a dashboard, a policy page, or in writing from us.
1.12 "Creative" means any promotional materials, copy, logos, images, links, banners, or other assets we provide or approve for use in the Referral Program.
1.13 "Confidential Information" has the meaning set forth in Section 10.
2. Program Overview and Participation
2.1 Program Overview. The Referral Program allows you to promote palmER AI Suite and earn Partner Fees for Qualifying Transactions attributed to your Tracking Links or Promo Codes.
2.2 Approval Required. You must apply and be approved to participate. We may approve, deny, suspend, or terminate participation in our sole discretion at any time, with or without notice.
2.3 Program Terms Control. The Program Terms may set commission rates, payment structure (including recurring commission rules and duration limits), qualification rules, caps, and other conditions. If there is a conflict between this Agreement and the Program Terms, the Program Terms will control for that specific program or campaign.
2.4 Limited License. Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, royalty-free license to use our approved Creative solely to promote palmER under the Referral Program during your approved participation. You may not modify Creative without our written permission, and you must preserve any trademark or copyright notices. All intellectual property rights remain with palmER.
3. Commission Structure
3.1 Commission Rates and Tiers Shown in the Affiliate Portal. Your commission rate, tier status (if applicable), and any tier requirements (including tier names, qualification thresholds, and how tiers are calculated) are set forth in the Affiliate Portal and/or the Program Terms and may change from time to time.
3.2 How Commissions Are Earned. Subject to this Agreement, Commissions are earned only for Qualifying Transactions that are attributed to you by the Affiliate Portal and/or our systems. Commissions may be calculated in one or more ways, including (by example only) a flat amount per referred subscriber, a percentage of subscription payments, or other structures as described in the Affiliate Portal and/or Program Terms.
3.3 Commission Duration Limit. Commissions are paid for a maximum of twelve (12) months per Referred Customer, beginning with the Referred Customer's first paid subscription month. After twelve (12) months, no further Commissions are paid for that Referred Customer, regardless of continued subscription.
3.4 Tier Qualification and Changes. If the Referral Program includes tiers, your tier qualification, tier effective date, and the commission rate that applies to you (including whether a change applies prospectively or to existing Referred Customers) will be determined by the Affiliate Portal and/or Program Terms as reflected in your dashboard reporting. We may add, remove, rename, or modify tiers, thresholds, commission rates, caps, and qualification rules at any time in accordance with Section 18 (Changes to the Agreement or Program Terms).
3.5 No Guarantee. We do not guarantee any minimum number of referrals, conversions, Commissions, tier status, or earnings.
4. Eligible Referrals
4.1 Qualifying Referrals
A Referral qualifies for Commission when:
- The Referred Customer is a new palmER AI Suite subscriber.
- The Customer signs up using your unique Tracking Link or Promo Code and is attributed to you by the Affiliate Portal and/or our systems.
- The Customer completes the Eligibility Hold Period (30 days) without refund, chargeback, dispute, cancellation, or reversal.
- The Customer is not you (self-referrals are prohibited).
4.2 Prohibited Referrals
- Self-referrals: You may not refer yourself or receive Commission on your own subscription.
- Fraudulent referrals: Any Referral obtained through deception, fake accounts, bots, forced clicks, cookie stuffing, misrepresentation, or other prohibited conduct.
5. Registration, Accounts, and Accurate Information
5.1 Accurate Information. You agree to provide truthful, accurate, and complete information about yourself, your business (if applicable), and your Affiliate Mediums. You must keep this information current.
5.2 One Account. You may not create multiple accounts to manipulate tracking, payouts, approvals, or qualification. Maintaining multiple accounts may result in termination of all accounts and forfeiture of unpaid Commissions.
5.3 Verification. We may verify your information (including identity and tax information) and may require additional documentation to approve or continue participation.
5.4 Tax Documentation.
- You must provide a valid taxpayer identification number, Social Security Number, or other applicable government identification.
- U.S.-based Affiliates must provide a completed W-9 form.
- Non-U.S. Affiliates must provide a completed W-8BEN or W-8BEN-E form, as applicable.
- We may withhold payment of Commissions until required tax documentation has been received.
- You are responsible for all applicable taxes on Commissions received.
6. Legal Compliance and Marketing Standards
6.1 General Compliance. You will comply with all applicable laws, rules, and regulations, including advertising, privacy, and consumer protection laws.
6.2 FTC Guidance. Affiliate agrees that it shall operate its Affiliate Mediums and publish Creative in compliance with the Federal Trade Commission's ("FTC") guidance, including the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising and the FTC's Enforcement Policy Statement Concerning Deceptively Formatted Advertisements and Native Advertising: A Guide for Businesses.
6.3 Email, SMS, and Messaging Compliance. If you use email, SMS, or similar messaging, you must comply with all applicable anti-spam and marketing laws (including CAN-SPAM and any state or international equivalents). No unlawful mass emailing, spoofing, or deceptive headers. You are responsible for obtaining any required consents.
6.4 Privacy Policy Requirement. If you operate a website or app used for promotion, you must maintain an easy-to-understand privacy policy that discloses your data practices and your use of cookies and tracking technologies, including affiliate tracking where applicable.
6.5 No Collection of Sensitive Data via Tracking. You will not configure or use tracking in a way that collects personally identifiable information beyond what is necessary for attribution, and you will not attempt to deanonymize users via tracking.
6.6 Clinical and Healthcare Marketing Standards.
- No Medical Advice. You must not represent palmER as providing medical advice, diagnosis, or treatment.
- No Misleading Claims. You must not make false, misleading, or unsubstantiated claims about clinical outcomes, billing outcomes, compliance status, diagnostic accuracy, patient results, or guaranteed documentation or revenue results.
- No Impersonation. You must not imply you are speaking on behalf of palmER or any third party unless you have express written authorization.
7. Prohibited Conduct and Promotional Restrictions
You agree you will NOT:
7.1 Self-Refer.
- Purchase palmER for yourself through your own Tracking Link, Promo Code, or any mechanism intended to attribute your own purchase to you. Self-referrals are void, do not qualify for Partner Fees, and may result in termination from the program.
7.2 Engage in Fraud or Manipulation.
- Generate fake leads, fake accounts, or fake transactions.
- Use bots, scripts, iframes, forced clicks, cookie stuffing, click injection, or any mechanism designed to inflate attribution.
- Interfere with or attempt to bypass the Affiliate Portal's tracking, reporting, or anti-fraud measures.
7.3 Promote on Coupon or Deal Sites.
- Promote palmER on cashback, coupon, discount, deal aggregation, or "promo code" sites unless we explicitly approve in writing.
7.4 Violate Trade Name or Brand Restrictions.
- Register domains, subdomains, social handles, or accounts that include our trade names or confusingly similar variants (including misspellings), such as "palmer," "palm-er," or "palmER," without written permission.
- Bid on paid search keywords containing our trade names or confusingly similar variants, or run ads that impersonate us.
- Create ads or pages that suggest they are coming from palmER, or that you are palmER.
7.5 Target Current Customers.
- Target or retarget our current customers or our audiences using data you do not have lawful rights to use (including scraped emails or unlawfully obtained lists), or otherwise materially interfere with our marketing efforts.
7.6 Use Unauthorized Promo Codes.
- Promote with a Promo Code that has not been assigned to you or authorized by us.
7.7 Misrepresent.
- Make any representation about palmER that is false, misleading, or inconsistent with our published terms, product documentation, or policies.
7.8 Promote Harmful Content.
- Promote palmER alongside content that is unlawful, hateful, discriminatory, pornographic, violent, or otherwise inappropriate, or content that defames or threatens others.
8. Tracking, Attribution, and Program Data
8.1 Tracking Method. Attribution is determined by the Affiliate Portal and our systems, including Tracking Links, cookies, and/or Promo Codes. You acknowledge that tracking is not perfect and may be impacted by browser settings, ad blockers, user behavior, and privacy controls.
8.2 Attribution Rules. Attribution, including how Tracking Links and Promo Codes are credited and how conflicts are resolved, is determined by the Affiliate Portal and/or the Program Terms and will be reflected in your dashboard reporting.
8.3 Program Data Final. Program reporting, including attribution, calculations, cancellations, refunds, and reversals, as recorded by the Affiliate Portal and our systems, will be considered final and binding except for manifest error.
8.4 Disputes Time Limit. Any questions or disputes about attribution or Partner Fees must be submitted in writing to partners@palm-er.com within fourteen (14) days after the relevant transaction appears in your dashboard. After that period, you waive the dispute.
9. Payment Terms
9.1 Payment Schedule
- Commission payments are processed monthly on a schedule determined by palmER and/or the Affiliate Portal.
9.2 Eligibility Hold Period
- Commissions become payable only after the referred Customer's subscription remains active for at least 30 days after the initial subscription purchase.
- This delay allows for refund and dispute processing.
9.3 Minimum Payout
- The minimum payout threshold is $30.
- If your earned Commissions are below $30, the balance will roll over to the following month.
- Upon termination of this Agreement, any undisputed Commissions that are actually earned will be paid during the next billing cycle, subject to reversals, fraud review, and this Agreement.
9.4 Payment Methods
Commissions may be paid via PayPal or Platform Credits, as configured in your Affiliate Portal dashboard. Availability of payout methods may change over time. You are responsible for maintaining accurate payout details.
PayPal Payments:
- You are responsible for providing accurate PayPal account information.
- All Commissions will be paid in U.S. Dollars (USD).
- PayPal payouts are subject to a transaction fee of 2.99%, which will be deducted from your payout. These are PayPal's processing fees and are not retained by palmER.
Platform Credits:
If you elect to receive Commissions as Platform Credits:
- Platform Credits are non-transferable and may be used only by the account that earned them.
- Platform Credits have no cash value and are not redeemable for cash.
- Platform Credits are non-refundable.
- We may void or reverse Platform Credits associated with refunded, charged back, disputed, canceled, fraudulent, or otherwise non-qualifying transactions, or transactions that violate this Agreement or the Program Terms.
9.5 Reversals and Clawbacks
Refunds and Chargebacks: If a referred Customer payment is refunded, charged back, disputed, canceled, or otherwise reversed, the corresponding Commission is not owed and may be deducted from your next payout, offset against future Commissions, or clawed back if already paid.
Cancelled Subscriptions: Commissions are only paid for months in which the referred Customer maintains an active, paid subscription. No Commission is paid for months in which the Customer's subscription is inactive, paused, or cancelled.
If we determine, in our reasonable discretion, that Commissions were earned in violation of this Agreement or the Program Terms (including fraud, self-referrals, or prohibited promotion methods), those Commissions are not owed and may be forfeited, reversed, or clawed back.
10. Confidentiality
10.1 Confidential Information. "Confidential Information" means all non-public information disclosed by either party, including program terms, commission structures, upcoming promotions, customer non-public information, and technical details.
10.2 Protection. Each party will use commercially reasonable efforts to protect the other party's Confidential Information and will not disclose it except as required to perform under this Agreement or as required by law.
10.3 Return or Destruction. Upon termination, each party will return or destroy the other party's Confidential Information upon request.
10.4 Exceptions. Confidential Information does not include information that:
- (a) is or becomes publicly available without breach of this Agreement;
- (b) was known to the receiving party prior to disclosure;
- (c) is received from a third party without restriction; or
- (d) is independently developed without reference to the disclosing party's Confidential Information.
11. Term and Termination
11.1 Term. This Agreement begins when you are accepted into the Referral Program and continues until terminated.
11.2 Termination by Affiliate. You may terminate your participation at any time by providing written notice to partners@palm-er.com.
11.3 Termination by palmER. We may terminate your participation at any time, with or without cause, upon written notice (including email). Termination for violation of these terms may be immediate.
11.4 Effects of Termination. Upon termination:
- Your license to use our Creative ends immediately.
- You must stop using Tracking Links and Promo Codes and remove Creative from your Affiliate Mediums.
- We will pay any undisputed Commissions actually earned prior to termination for Qualifying Transactions, subject to the Eligibility Hold Period, reversals, fraud review, and this Agreement.
- You shall return or destroy all Confidential Information.
- Sections intended to survive will survive (including Confidentiality, Limitation of Liability, Indemnification, and Dispute Resolution).
12. Representations and Warranties
You represent and warrant that:
- You are at least 18 years old and have the legal authority to enter into this Agreement.
- All information provided in your registration is truthful, accurate, and complete.
- Your promotional activities will comply with all applicable laws, regulations, and this Agreement.
- Your promotional activities will not infringe on any third party's intellectual property rights.
- You will not engage in any activity that could materially damage palmER's reputation or goodwill.
13. Disclaimers
THE REFERRAL PROGRAM, THE AFFILIATE PORTAL, OUR PRODUCTS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OPERATION, ACCURATE TRACKING, OR AVAILABILITY OF ANY PROGRAM.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALMER WORLDWIDE LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL PARTNER FEES PAID OR PAYABLE TO YOU IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
IN NO EVENT WILL PALMER WORLDWIDE LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL.
15. Indemnification
You agree to indemnify, defend, and hold harmless palmER Worldwide LLC and its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your breach of this Agreement.
- Your promotional activities, content, or Affiliate Mediums.
- Your violation of any law, regulation, or third-party rights.
16. General Provisions
16.1 Independent Contractor. You and palmER are independent contractors. Nothing in this Agreement creates an employment relationship.
16.2 Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of substantially all assets.
16.3 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.4 Waiver. palmER's failure to enforce any term of this Agreement shall not constitute a waiver of that term or any other term.
16.5 Entire Agreement. This Agreement and the Program Terms constitute the entire agreement between you and palmER regarding the Referral Program and supersede all prior discussions, agreements, or understandings on the subject.
16.6 Force Majeure. palmER shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, labor disputes, government actions, Internet or telecommunications failures, or cyberattacks.
17. Governing Law and Dispute Resolution
17.1 Governing Law. This Agreement will be governed by the laws of the State of Delaware, without regard to conflict of law principles.
17.2 Informal Resolution. Before initiating formal dispute resolution, the parties agree to attempt to resolve any dispute informally by contacting partners@palm-er.com.
17.3 Arbitration. Any dispute arising out of or related to this Agreement that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. Arbitration shall take place in Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
17.4 Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
17.5 Injunctive Relief. Either party may seek injunctive relief in court to protect intellectual property or Confidential Information.
18. Changes to the Agreement or Program Terms
We may update this Agreement or the Program Terms from time to time. Material changes will be communicated with at least 30 days' notice via email or the Affiliate Portal. Updated versions become effective when posted or on the date specified. Your continued participation after the effective date constitutes acceptance. If you do not agree to the modified terms, you may terminate your participation before the changes take effect.
19. Electronic Signature
By enrolling in the Program, you acknowledge and agree that you are submitting a legally binding electronic signature and entering into a legally binding contract. You consent to the use of electronic signatures, contracts, and records, and to electronic delivery of notices and communications related to the Program.
